The Halakhic Framework of Agency

These sources establish the foundational halakhic principles governing the appointment of an agent (shelichut): a competent person may authorize another to act on their behalf in legal transactions, with the agent's authorized actions binding the principal. The sources address the requirements for valid agency, the agent's authority and limitations, and the legal consequences of the agent's acts.

What the sources say

The clause envisions a mentally competent adult formally appointing another person as his agent and guardian to act and represent him in specified matters, and the closest halachic template for this is the shtar harsha'ah — a power-of-attorney document accompanied by a kinyan — that Mishneh Torah, Agents and Partners 3:1-5 describes: one who wishes to appoint an agent to act on his behalf in legal matters must write him a harsha'ah and perform a kinyan with the language 'go, litigate, acquire, and take out for yourself,' and without such a document the agent cannot even litigate in his name, though all that he acquires remains legally the principal's.

This device appears in practical form in the notarial formulas of Nachalat Shivah, Shtarot 44:0, which records language appointing a person as מורשה ואנטלר (an authorized agent) with full power to sue, collect, and act so that 'your doing is as my doing,' and in Nachalat Shivah, Shtarot 49:0, which shows a sub-agent similarly appointed by the original agent before a court. Nachalat Shivah, Shtarot 38:0 extends this further to a case where a person prospectively appoints someone to serve as מורשה ואפטרופוס over his minor orphans' inheritance, directly paralleling the appointment of a מיופה כוח ואפוטרופוס for future contingencies, and Nachalat Shivah, Shtarot 39:0 gives the parallel form for a court-appointed apotropos to act on behalf of orphans.

The underlying principle enabling any such appointment is the general law of agency, derived in Kiddushin 41a from the double language of 've-shilach'/'ve-shilchah' teaching that a person may appoint an agent and that an agent may in turn appoint a sub-agent, and codified in Mishneh Torah, Agents and Partners 1:1-3 and Shulchan Arukh, Choshen Mishpat 182:1-2, both of which state that one who tells another to act on his behalf makes him an agent whose dealings are fully binding, requiring only a verbal appointment (witnesses being needed merely to prove the fact if disputed). Beit Yosef, Choshen Mishpat 182:4-5 traces this principle of 'a person's agent is like himself' to the same derivation from gittin and korbanot, and Sma (Choshen Mishpat 182:1-2) and Ketzot HaChoshen (Choshen Mishpat 182:1-2) elaborate on the scope and limits of this rule, including the question of which categories of mitzvah or act can be performed through an agent at all.

A necessary qualification for the clause's requirement that the appointer be 'גדול... פקח ובר דעת' (an adult of sound mind) and for the agent himself is drawn from Mishneh Torah, Agents and Partners 2:2 and Shulchan Arukh, Choshen Mishpat 188:1-2, both of which rule that only a person of da'at (mental competence) — excluding a deaf-mute, an imbecile, or a minor — can either appoint or serve as an agent, since such people lack the halachic capacity (בני דעת) that agency law requires; Gittin 23a applies the identical principle to the appointment of an agent to deliver or receive a get, disqualifying a deaf-mute, imbecile, or minor, while validating one whose competence existed at both the start and end of the agency.

The formal mechanics of such an orakhta-style authorization — including that the document must explicitly grant the agent power to sue and collect in his own name, lest the other party claim 'you are not my opposing litigant' — are set out in Bava Kamma 70, reinforcing the structure that Mishneh Torah, Agents and Partners 3:1-5 already requires for any harsha'ah-style appointment; and Mishneh Torah, Divorce 6:1-4 shows a parallel formal appointment of a receiving or delivery agent requiring witnesses, illustrating how halacha structures the act of designating a specific individual to act in another's stead in a defined matter.

Several sources further develop the scope of acting on another's behalf even absent his direct instruction: Nedarim 36b raises whether one acting for another's benefit requires that person's knowledge and consent, and Pesachim 88a discusses how a guardian (apotropos) may act and register minors or dependents in a group on their behalf, both bearing on the underlying question of how far a representative's authority to act for another extends; Netivot HaMishpat (Choshen Mishpat 182:1) likewise analyzes the boundaries of an agent's authority and liability within this same framework of shelichut.

Avnei Nezer, Even HaEzer 178 addresses a case of appointing an agent (and a scribe) to act in a person's name through a written and witnessed declaration made outside that agent's presence, discussing the view that such an appointment not made in the agent's presence may be valid, which bears directly on the clause's provision that a durable power of attorney be executed through a formal document rather than requiring the agent's presence at every stage.

Kiddushin 41a

Kiddushin 41a:3

The Talmud discusses agency (שליחות), including the principle that a person's agent is legally treated as the person's extension for carrying out authorized acts.

Gittin 23a

Gittin 23a:13

The Talmud analyzes who is legally competent to serve as an agent and the requirement that agency be established through a legally meaningful appointment.

MISHNA: Anyone is fit to serve as an agent to bring a bill of divorce to a woman except for a deaf-mute, an imbecile, or a minor, or a blind person, or a gentile. However, if one received it when he was able to hear, and then became a deaf-mute, and then again became able to hear; or if one received it when he was able to see, and then became blind, and then again became able to see; or one received it when he was halakhically competent, and then became an imbecile, and then again became halakhically competent, in all of these cases he is fit to bring the bill of divorce. This is the principle: Anyone who is halakhically competent in the beginning and in the end is fit, even if there was time in the interim when he was unfit. GEMARA: The Gemara asks with regard to those the mishna lists as not being qualified to bring a bill of divorce: Granted, a deaf-mute, an imbecile, and a minor are not qualified because they are not halakhically competent, and only one who is competent can be appointed as an agent. Additionally, a gentile also is not qualified, as he is not subject to the halakhot that permit a woman to remarry via a bill of divorce. A person cannot serve as an agent for a matter that does not apply to him. But why isn’t a blind person qualified to bring a bill of divorce? Rav Sheshet says: Because he does not know from whom he takes it and to whom he gives it, and since he is unaware of this he will not be able to testify about it.

Pesachim 88a

Pesachim 88a:6-7

The sugya discusses appointment and representation in the context of participation in the paschal offering, illustrating how a person's legal participation can be effected through designated representatives.

We learned in the mishna: In the case of an orphan with multiple guardians, if each of his guardians slaughtered a Paschal lamb on his behalf, he may eat in whichever place he wishes. The Gemara suggests: You can learn from it that there is retroactive clarification, and one’s ultimate decision as to which group he wishes to be part of retroactively indicates that from the outset he was registered in that group. This is problematic, as no halakhic conclusion has been reached in the matter of retroactive clarification. The Gemara therefore rejects this suggestion: Rabbi Zeira said: The halakha in the mishna is not based on retroactive clarification, but rather on the following principle: The verse states: “They shall take to them every man a lamb, according to their fathers’ houses, a lamb for a household” (Exodus 12:3), indicating that a minor’s membership in the household is sufficient for him to be registered in the household’s Paschal lamb in any case, even without his agreement. The Sages taught in a baraita: A lamb for a household teaches that a person brings and slaughters a Paschal lamb on behalf of his minor son and daughter and on behalf of his Canaanite slave and maidservant, whether with their consent or without their consent. Since they do not have a legal identity independent of their household membership, their membership is sufficient to include them, even without their consent. However, one may not slaughter the Paschal lamb on behalf of his adult son or daughter, or on behalf of his Hebrew slave and maidservant, or on behalf of his wife unless he has their consent. Since they have legal identities independent of their household membership, their inclusion can be achieved only through their consent.

Nedarim 36b

Nedarim 36b:1-3

The Talmud discusses agency in sacrificial and ritual contexts, providing a classic source for the principle that one person may act legally through another.

A dilemma was raised before the Sages: In the case of one who separates teruma from his own produce on behalf of the produce of another, does he require the knowledge and consent of the owner of the produce or not? Do we say: Since it is a benefit for the other to have his produce tithed, it does not require his knowledge, as one may act in a person’s interest in his absence? Or, perhaps it is his mitzva, and it is preferable for him to perform the mitzva himself, and therefore, it does not benefit him to have the produce tithed on his behalf. Come and hear a proof from the mishna: For one for whom benefit from him is forbidden by vow, he separates his teruma and his tithes, provided that it is with his knowledge and consent. The Gemara analyzes this statement: With what are we dealing? If we say that he separates teruma from the produce of the owner of the pile for the produce of the same owner of the pile, the question is: And with the knowledge and consent of whom may he do so? If we say it is with the knowledge of the one tithing the produce, who designated him an agent to do so? One cannot tithe another’s produce unless he is designated as an agent. Rather, it must be that he is tithing with the knowledge of the owner of the pile. However, in that case, by tithing the produce isn’t he benefiting the owner, as he is performing the action in fulfillment of the agency of the owner? Rather, it must be that he separates teruma from his own produce on behalf of the produce of the owner of the pile. The Gemara asks: And with the knowledge and consent of whom is he doing so? If we say it is with the knowledge of the owner of the pile, isn’t he benefiting the owner? He is performing the action in fulfillment of the agency of the owner. Rather, is it not that he is tithing on the basis of his own knowledge, and he is separating from his own produce on behalf of the produce of another? And if you say that in order to tithe from one’s produce on behalf of the produce of the owner, it requires the owner’s knowledge and consent, isn’t he benefiting the owner? Rather, is it not that one may conclude from here that in order to tithe from one’s produce on behalf of the produce of another, one does not require the knowledge and consent of the owner of the pile?

Berakhot 19b

Berakhot 19b:9-11

Chachmei Bavel explain that human dignity can justify suspending a rabbinic decree, which is grounded in the Torah prohibition of “you shall not deviate,” though it does not override a direct Torah prohibition.

The Gemara cites an additional proof from a baraita: Come and hear: Great is human dignity, as it overrides a prohibition in the Torah. The Gemara asks: Why? Let us also say here: “There is neither wisdom, nor understanding, nor counsel against the Lord.” Rav bar Shaba interpreted this prohibition, which is overridden by human dignity, before Rav Kahana as referring to the prohibition of: “According to the Torah taught to you and the ruling handed down to you, you shall do, you shall not deviate to the left or the right from that which they tell you” (Deuteronomy 17:11). The Yeshiva students laughed at him, as the prohibition of “you shall not deviate” is by Torah law, like all other Torah prohibitions. Why should human dignity override it any more than any other Torah prohibition? Rav Kahana replied to them: A great man has spoken, do not laugh at him. The Sages based all rabbinic law on the prohibition of “you shall not deviate”; however, due to concern for human dignity, the Sages permitted suspension of rabbinic law in cases where the two collide. All rabbinic decrees are predicated on the mitzva in the Torah to heed the judges in each generation and to never stray from their words. Therefore, when the Sages suspend a decree in the interest of preserving human dignity, human dignity is overriding a Torah prohibition. In any case, it only overrides rabbinic decrees.

Bava Kamma 70

Bava Kamma 70:1

Chachmei Bavel report that an authorization document for movable property is invalid unless it empowers the collector to litigate, acquire, and take the property for himself; Ameimar permits the collector to retain property he seized, while Rav Ashi regards him as merely an agent.

§ The Sages of Neharde’a say: One cannot write a document of authorization [orakhta] to assign another to collect a debt or a deposit of movable property on his behalf. Rav Ashi said to Ameimar: What is the reason for this halakha? Ameimar said to him: It is due to a principle stated by Rabbi Yoḥanan. And the Sages of Neharde’a state another halakha with regard to this kind of document: A document of authorization in which it is not written: Go and take legal action against so-and-so and take possession of the owed property and collect it from him for yourself, has no substance, i.e., it is not a valid document. What is the reason for this? It is because the other party, the bailee or debtor, can say to the collector who presents a document without this clause: I am not legally answerable to you; I am willing to deal only with the person to whom the item is owed. To avoid this situation, the authorization document must transfer actual ownership of the item to the collector, who is now claiming it for himself. Ameimar said: If the collector who is empowered by the authorization seized the item he collected and kept it for himself, the court does not take it away from him, as the owner transferred ownership of the item to him in the document of authorization, as explained above. Rav Ashi disagreed with Ameimar and said: Since the owner wrote to the collector: I accept upon myself anything that develops as a result of this legal process, he has in effect rendered the collector an agent to act on his behalf, and therefore the agent cannot seize the item for himself.

Bava Batra 170b

Bava Batra 170b:3-4

The passage discusses the proper procedure for replacing a promissory note with a revised sum: Rav rules that the court should tear up the original and issue a replacement dated from the original document, while noting that Rav would have retracted this ruling had he heard the baraita assigning this role to the witnesses.

GEMARA: Rav Huna says that Rav says: The halakha is not in accordance with the opinion of Rabbi Yehuda, nor is it in accordance with the opinion of Rabbi Yosei. Rather, the halakha is that the court tears up the original promissory note and writes a different promissory note for the creditor, listing the new sum owed, dated from the time of the first document. Rav Naḥman said to Rav Huna, and some say it was Rav Yirmeya bar Abba who said this to Rav Huna: If Rav would have heard this following baraita, as it is taught in a baraita that according to Rabbi Yehuda the proper procedure is that the witnesses tear the original promissory note and write another promissory note for the creditor listing the new sum owed, dated from the time of the first document, he would have retracted his statement that the court tears the promissory note and writes a new one.

Mishneh Torah, Agents and Partners 1:1-3

Mishneh Torah, Agents and Partners 1:1-3

Rambam codifies the institution of shelichut: a person may appoint an agent to perform legal acts in his place, and the agent's actions can create legal consequences for the principal.

When a person tells a colleague: "Go out and sell landed property for me," "...movable property...," or "...purchase for me...," then the person should perform his agency, selling or buying. All his deeds are binding. It is not necessary for a person who appoints an agent to perform a kinyan or have the appointment observed by witnesses. Instead, the statement he makes to his colleague is sufficient. Witnesses are necessary solely to reveal what transpired if one of the two denies the matter, as is the case with regard to other claims. When an agent intentionally violates the instructions of his principal, his deeds are of no consequence. Similarly, if he erred even with regard to the slightest amount, the transaction - whether involving landed property or movable property - is nullified. For the principal can claim: "I sent you to improve my position, not to impair it." The principle is that with regard to movable property, the laws of ona'ah do not apply unless one pays a sixth or more than the proper price for an article, and that these laws do not apply at all with regard to the sale of servants, promissory notes and landed property. They do, however, apply when the seller or the purchaser himself conducts the transaction. When, however, it is conducted by an agent, and he erred in his valuation with regard to even the slightest amount, the transaction is nullified. When a person gives money to an agent to purchase landed property, and the agent purchases it for him without requiring the seller to accept financial responsibility if it is expropriated from the purchaser, he is considered to have damaged the principal's position. The agent must purchase the property without financial responsibility, as he did, for himself. Then he must sell it to the principal and accept financial responsibility. This decision is rendered because the agent purchased the property with money belonging to the principal. The agent must accept the financial responsibility himself. Similar laws apply in all analogous situations. Therefore, if the principal explicitly stipulates that he is appointing the agent in that capacity, whether he improves his position or impairs it, he may not retract, even if the agent sold a field worth 100 dinarim for a dinar for him, or purchased one worth a dinar for 100. And the principal must pay the agent as he originally stipulated.

These laws discuss the powers and limitations of an agent, including acting within the mandate granted by the principal and the consequences of exceeding it.

The following laws apply when a person owns landed property that another person is using or he has movable property that he had given him as an entrusted object, and he seeks to appoint an agent to carry out legal procedures with that other person and expropriate that property or entrusted object from his possession. He must compose a deed granting him power of attorney. And he must perform a kinyan certifying that he was granted power of attorney, telling him: "Take it to court, acquire it, and expropriate it for yourself," or the like. If the principal does not compose such a deed for the agent, he may not enter into litigation on his behalf, for the defendant will argue: "You are not the party with whom I have contention." Even if the principal does compose such a deed, the agent is no more than that, and any property that he acquires belongs to the principal. And any expenses undertaken by the agent with regard to the dispute for which he was given power of attorney must be borne by the principal. For this is also written in the deed granting power of attorney: "Any expenses that you undertake in this case, I undertake to pay."

Mishneh Torah, Agents and Partners 2:2

Rambam states that a person may appoint as a shaliach a man or woman, including a married woman, servant, or maidservant, provided they possess understanding and observe some mitzvot; a deaf-mute, mentally incompetent person, or minor may neither serve as a shaliach nor appoint one.

Mishneh Torah, Divorce 6:1-4

Rambam codifies appointment of agents for divorce and emphasizes the principal's ability to authorize another person to act in a formal legal process on his behalf.

An agent who is appointed by a woman to receive her get from her husband is called a receiving agent (sh'liach kabbalah). When the get reaches this agent's hand, the divorce is completed, as if it has reached the hands of the woman herself. [The agent] must be appointed in the presence of two witnesses, and two witnesses must be present when the get is conveyed to the agent. Even if the second pair of witnesses is the same as the first pair, or one of them is from the first pair, they are acceptable as witnesses. A husband may not appoint an agent to receive a get for his wife. He may, however, appoint an agent to deliver a get to his wife. Such an agent is referred to as a delivery agent (sh'liach holachah). Similarly, a woman may appoint an agent to fetch her get for her from her husband. Such an agent is referred to as an agent who fetches (sh'liach hava'ah). Neither a sh'liach holachah nor a sh'liach hava'ah need [be appointed in the presence of] witnesses.

Beit Yosef, Choshen Mishpat 182:4-5

Beit Yosef analyzes the sources and parameters of shelichut underlying the codified law of agency.

Aryeh Leib Heller distinguishes between acts for which agency applies, such as kiddushin, divorce, and offering the Pesach sacrifice, and personal obligations such as sukkah, tzitzit, and tefillin, explaining that agency makes the agent’s act equivalent to the principal’s only where an action is performed, not where the obligation is inherently personal.

Yaakov Chaim Sofer explains that a shaliach tzibbur may not answer amen during the priestly blessing because he might become confused about which blessing to prompt, while some sources permit it when he is confident that his mind will remain clear; he concludes that this leniency applies only under pressure to prevent the priestly blessing from being canceled, not to answering amen where no such urgency exists.

Rabbi Avraham Bornsztain permits, in a severe case of agunah, combining a husband’s signed handwritten appointment of the scribe and witnesses with his oral declaration before witnesses, who should preferably testify before a beit din that records and authenticates their testimony; if necessary, he allows the declaration before three people who write it down.

Judicial Authority and Torah Discipleship

These sources explore two interconnected principles from Talmudic and rabbinic tradition: the requirement for a judge to obtain formal authorization from recognized authorities (such as the Exilarch) in order to adjudicate cases without personal liability for errors, and Rabbi Eleazar's teaching that genuine Torah mastery requires active apprenticeship under living scholars rather than solitary textual study alone.
